Introduction

These Terms of Service ("Terms") govern your use of NIL Sports Tech, a web-based platform for elite athletes to create and manage personalized applications. By creating an account or using NIL Sports Tech, you agree to these Terms. If you do not agree, do not use the platform.

1. Service Description

NIL Sports Tech is a web-based platform that enables athletes to create and manage personalized applications with blockchain, AI, and e-commerce features. By using our platform, you agree to comply with these Terms of Service.

2. Account and Authentication

2.1 Account Creation

You must choose a unique ticker/username
You must create a secure PIN for authentication
You are responsible for keeping your PIN confidential
You must be at least 13 years old (16 in the EU) to use NIL Sports Tech
If you're under 18, you must have parental consent

2.2 Account Security

You are responsible for all activity on your account
If your PIN is compromised, contact us immediately
We are not liable for unauthorized access due to PIN sharing

3. User Content and Ownership

You own all content you create on NIL Sports Tech
By uploading content, you confirm you have the rights to share it
You grant NIL Sports Tech a license to host and display your content
You are responsible for ensuring your content complies with all laws

4. Cryptocurrency and Blockchain Features

4.1 Risk Acknowledgment

Cryptocurrency transactions involve significant risks. By using NIL Sports Tech's blockchain features, you acknowledge and accept the following:

Volatility: Cryptocurrency values can fluctuate dramatically
Irreversibility: Blockchain transactions CANNOT be reversed once confirmed
Loss of Private Keys: If you lose your PIN or wallet key, your funds may be permanently inaccessible
Smart Contract Bugs: While we take precautions, bugs can occur in smart contracts
Regulatory Uncertainty: Cryptocurrency regulations vary by jurisdiction and may change
No FDIC Insurance: Cryptocurrencies are NOT insured by government agencies

4.2 Cryptocurrency Disclaimer

NIL Sports Tech does NOT provide investment, financial, or legal advice
You should consult professionals before making financial decisions
We do NOT guarantee the value, functionality, or legality of any tokens
You are responsible for tax reporting on all crypto transactions

4.3 Token Supply Allocation

When you deploy your token to mainnet ("Go Global"), you acknowledge the following token distribution:

Platform Fee: NIL Sports Tech will receive 1% of the total token supply upon mainnet deployment
Distribution: The 1% allocation will be automatically allocated to NIL Sports Tech's wallet during token creation
Purpose: This allocation supports platform development, maintenance, and ongoing service improvements
Remaining Supply: You retain control of the remaining 99% of the token supply
Non-Negotiable: The 1% platform allocation is a required condition for using the "Go Global" mainnet deployment service

5. Payment and Fees

NIL Sports Tech supports the following payment methods:

Square: Credit/debit cards, Apple Pay, Google Pay (fees apply)

5.1 Payment Processing Fees

Square charges 2.9% + $0.30 per transaction
These fees are charged by the payment processors, NOT by NIL Sports Tech
These fees are non-refundable, even if a refund is issued

5.2 Platform Fees

Transaction Fees: NIL Sports Tech does NOT take a cut of your sales
Go Global Fee: $4.99 one-time fee to deploy your token to Solana mainnet

5.3 Refund Policy

All sales are final. NIL Sports Tech does NOT provide refunds for any services, features, or transactions, including but not limited to:

Token Deployments: Once a token is created on the blockchain, it cannot be undone
Cryptocurrency Transactions: Blockchain transactions are irreversible
Shop Purchases: Refund policy is set by the individual app owner (not NIL Sports Tech)

5.4 Dispute Resolution

Payment Issues: Contact Square support for payment problems
Go Global payment: Contact kl@nilsportstech.com for issues with the $4.99 mainnet deployment fee

6. Intellectual Property

6.1 Your Content

You retain all rights to content you create
You grant NIL Sports Tech a license to host and display your content
You are responsible for obtaining rights to any third-party content you use

6.2 NIL Sports Tech Intellectual Property

NIL Sports Tech name, logo, and platform design are our property
You may not use our branding without written permission
You may not reverse engineer or copy our platform

7. Prohibited Conduct

You may NOT use NIL Sports Tech for:

Illegal activities or content
Harassment, hate speech, or discrimination
Scams, fraud, or phishing
Impersonation or identity theft
Spamming or mass unsolicited messaging
Violating others' intellectual property rights
Hacking, exploiting bugs, or circumventing security measures
Creating tokens that violate securities laws
Money laundering or terrorist financing

8. Third-Party Services

NIL Sports Tech integrates with third-party services (Anthropic, Meshy, OpenAI, Square, Solana). These services have their own terms of service:

By using these features, you agree to comply with the respective third-party terms.

9. Disclaimer of Warranties

NIL Sports Tech is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy of information
Uninterrupted or error-free service

10. Limitation of Liability

To the maximum extent permitted by law, NIL Sports Tech shall NOT be liable for:

Loss of profits, revenue, or data
Cryptocurrency price fluctuations
Loss of funds due to user error (e.g., wrong wallet address, lost PIN)
Smart contract bugs or exploits
Third-party payment processor issues
Unauthorized access to your account

11. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. You may delete your account at any time. Upon termination:

Your access to NIL Sports Tech will be revoked
Blockchain-deployed tokens remain on-chain (cannot be deleted)
Content may be removed from our servers

12. Changes to Terms

We may update these Terms at any time. Continued use of NIL Sports Tech after changes constitutes acceptance of the new Terms. We will notify users of significant changes via email or in-app notification.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes will be resolved in the courts of the United States.
